When you are looking for a place to take your taxes to file a return, look for free tax help. Unless you have a business or highly complex deductions, you should be able to get your taxes filed for free. However, that does not mean that you should be willing to work with just anyone who says they know what they are doing. Here are some reasons to check out free tax help to assist you with filing your return.

    Prevent Errors

The Internal Revenue Service will penalize a person if their tax return is incorrect. If they happen to underpay what they owe, the IRS will charge interest and a late payment fee on what is owed. This will result in the taxpayer paying more than what they would have originally had they filed correctly. Your tax help can review the return to ensure that everything is accurate.

    Maximize Deductions

Many taxpayers are not aware of all of the things that can be deducted from their taxes. Free tax help will be up to date on what is currently allowed. For instance, many people know they can deduct contributions to charity, but they may not be aware of the fact that they can deduct any expenses involved with volunteering for that organization. A professional tax service will know these details.

    Knowledge Of Complex Tax Returns

If someone has a complicated tax return, the right company that offers free tax help can assist them with any questions. People who care for their elderly parents may qualify for certain deductions. Anyone who has their own business or is self-employed will have different forms to file and may be able to deduct some of their home expenses on their taxes.

    Free Online Filing

A taxpayer can find several websites that offer free filing for people under a certain income. Some sites offer free e-filing if they fill out a standard 1040A or EZ form, but charge if there are additional forms. This is a great way to get taxes e-filed quickly without paying.

The benefit of working with these sites is that the person can input the information that is asked of them and the sites figure the tax. Based on the information that is given, they know what questions to ask to allow the taxpayer to claim the most deductions. In addition, they are programmed to consider the correct amounts for that situation. Because they are updated when new laws go into effect, a person can be confident that their return has the most up to date information with this free tax help.

    Be Aware

No matter who a person goes to for free tax help, they are responsible for their tax return. They should always make sure they look over the return and verify it before it is sent. If an error is noticed after it has been filed, they should contact the IRS about filing an amendment. This will ensure that they have filed the correct information.

Getting free tax help is one way of making sure your taxes are filed correctly the first time.

If you are thinking of changing careers and have a clear idea of what you want to do in your life, not having health care coverage may be the one thing that is preventing you from making your move. If you have insurance, you may be afraid to let it go because who knows how long it will be before you get it again. It's a risky world out there and you want all the protection you can get. Today there are more choices available for people that need to provide their own coverage. It can be as simple looking for health insurance online to find a plan of coverage that suits your needs and that you can afford.

The biggest drawback for people that need to provide their own insurance very often is the cost of the premiums. To even have the most basic coverage has been out of the price range for most people that earn an average yearly wage. For people that have no chronic illnesses and low risk factors such as no tobacco or drug use, it pays to look for health insurance online to see if there is a plan that would provide basic coverage in the event of an accident or unexpected illness. There are companies that can help you find the best health insurance online because they act as an information clearing house for you when you are looking for coverage. They have relationships with a variety of different providers and know what products and services they all provide. Once they have some information about you and your family's health histories and the coverage you are looking for, they can best match you with the most suitable health insurance online in the premium range that you can afford.

There are companies that provide short term insurance such as might be needed when changing jobs. Such a plan would cover you and your family in the event there is a waiting period that your new employer requires before you can be added to their group plan. Having a gap in coverage for as little as six months can be risky so if there are options that are affordable, they are worth purchasing. These plans can often be surprisingly low cost making it worth the effort to look around and see what your options are for finding health insurance online. Even if you are not successful in finding a suitable plan right away, looking for your health insurance online can very often lead you to resources that you did not know existed. There are social service programs that can provide certain levels of care for people with special needs. There are funds that can help with the cost of medications if the need should arise and there are insurance plans that can be tailored to anybody's needs and have a premium to match. It just takes a little research, and finding a company that can help you sort out what is available for individual plans will be your best tool for shopping for health insurance online.

Article Title: Consider a Grand Canyon Airplane Tour For a Trip in 2013

Winter's almost over, and it's time to start thinking about 2013's upcoming Grand Canyon air tours. After doing a little research, I'm convinced that a lot of great tours are in the works.

Grand Canyon plane tours fly out of Vegas and from Grand Canyon National Park Airport (GCA) in Tusayan, Arizona, just outside the National Park's main gates. Flights originating at GCA make a beeline for the South Rim, while Vegas flights head to the West Rim. Currently, there aren't any rim-to-rim flights.

South Rim air tours come in two types: one type consists of an exciting flight, while the other type does that too, but adds an all-day smooth-water rafting trip down the Colorado River. The flight treats you to spectacular aerial views of South Rim highlights, just a few of which are:

The South, North and East Rims

    The incredible Painted Desert

    Imperial Point

    Zuni Point

    The Colorado Confluence

The river rafting trip is pretty amazing too. The basic rafting package involves riding a bus to Glen Canyon Dam, then boarding a pontoon boat for a 15-mile glide down the Colorado. An upgraded package has you flying to the dam on a VistaLiner plane and includes a 4x4 Jeep ride to fantastic Antelope Canyon. It doesn't get much better than that!

West Rim airplane tours come in two types too: air-only and landing tours. An air-only flight on a Grand Canyon airplane would be terrific for someone who doesn't have much time or just wants to get a quick taste of the canyon. Landing tours are best for people who want a more comprehensive experience and have more time to enjoy the canyon.

If you choose a landing flight on a Grand Canyon airplane, you'll fly over Hoover Dam and scenic Lake Mead before touching down at Grand Canyon West Airport. Once you land, you'll have plenty of time (usually around three hours) to check out these West Rim points of interest:

    Guano Point (the "Bat Cave")

    The Indian Cultural Center

    Hualapai Ranch

    Eagle Point

One of the most popular West Rim air tours is the package that includes passes to the fabulous Grand Canyon Skywalk. This is the amazing place where you can walk out 70 feet past the canyon's edge and stand 4,000 feet above the bottom! It's the largest glass cantilever bridge on the planet!

Right now, what really has me eager to head to the canyon is what I would call the ultimate Grand Canyon airplane package: it includes Skywalk access and everything in the basic landing tour, but adds a thrilling chopper flight down to the canyon floor and a float trip down the Colorado.

Personally, I think this particular package is the best of the best. Not many people can say they've done all those things!

Starting in March and running through the end of summer, Grand Canyon flights usually sell out pretty quickly. That's why I always urge people to book at least a week before the flight date they want – the more the better as far as lead time is concerned.

I also urge everyone to book their flights online - that's where the best deals always are. Book your tickets on the tour company's own website and you won't be disappointed. If (but only if) you complete your purchase entirely on the site, you'll qualify for a terrific Internet-only discount!

Enjoy your flight – maybe we'll see each other there!

    Prolapsed Disc Surgery

If you suffer from a prolapsed disc, surgery may seem like your only option to overcome your chronic neck or back pain once and for all. However, while you may be eager to schedule a procedure to treat your pain, it is important to make sure that you first fully understand the cause of your condition and have explored all of your available nonsurgical treatments. You may be surprised to learn that the vast majority of people who suffer from symptoms of disc problems can usually effectively manage their symptoms with a series of noninvasive methods.

    What is a Prolapsed Disc?

In the spine, adjacent vertebrae are cushioned and separated by thick spongy pads that are known as intervertebral discs. These discs are important because they are both highly flexible and extremely durable, which helps provide for the regular movement that we require from our neck and back and also supports a tremendous amount of body weight.

Each disc is primarily composed of two main parts, a tough outer shell known as the annulus fibrosus, and a gel-like center, which is called the nucleus pulposus. A prolapsed disc refers to an intervertebral disc where a rupture has developed in the annulus fibrosus, allowing the nucleus pulposus to escape the disc and seep into the spinal column. This condition is also sometimes known as a herniated disc or colloquially as a slipped disc. Yet, simply having a prolapsed disc doesn't mean surgery is the only option. In fact, many people experience this condition without ever knowing it.

    Symptoms from a Prolapsed Disc

One of the interesting things about having a ruptured disc is that this condition isn't inherently symptomatic. In most cases, when a patient experiences pain or discomfort from a prolapsed disc, it is because the extruded disc material has come into contact with the spinal cord or a nerve root in the spinal column and caused the nerve to become constricted or irritated. As a result, the goal of prolapsed disc surgery and other treatments is usually to alleviate this constriction.

A number of unique symptoms can be associated with this condition, depending on the cause, location, and severity of the problem. The most common symptoms include localized neck pain or back pain, traveling pain along a nerve, numbness and tingling in the extremities, and other similar symptoms.

    Treatment

If you've been diagnosed with a prolapsed disc, surgery is rarely the first option. More often, a regimen of conservative, noninvasive treatments will first be attempted as a means of alleviating strain on the neck or back and reducing pain. These treatments tend to include:

    • Low-impact exercise

    • Nonsteroidal anti-inflammatory drugs

    • Hot/cold therapy

    • Diet

    • Limited rest

    • Massage

    • And more

However, if several weeks or months of this type of treatment fails to provide sufficient relief, other options may be considered.

    Considering Prolapsed Disc Surgery

Prolapsed disc surgery can be approached in several different ways depending on the extent of the problem, the cause and location of the prolapsed disc, and your overall health. Traditionally, the use of an open spine surgery, such as spinal fusion, has been recommended as a means of permanently immobilizing the spine at the vertebral level by removing the affected intervertebral disc and fusing adjacent vertebrae together.

Alternatively, recent advancements in endoscopic technology have given rise to minimally invasive alternatives that can sometimes treat the symptoms of a prolapsed disc without the lengthy hospital stay and arduous recovery process that is associated with open spine surgery. To learn about the specific options that are available to you, take the time to research all of your options and speak with several doctors in your area. The last thing you want to do is consent to a surgery that you don't need when a less invasive option is at your disposal.

Becoming a doctor in today's world requires a great deal of hard work. Even being admitted to medical school can be a difficult task. Competition is fierce, and those seeking careers as medical doctors are among the most intelligent and skilled individuals in our society. Knowing how to succeed and putting yourself in position to do so is half the battle. Below are some helpful tips to put you on the right track toward a future in medical school and a career in the medical field.

    Required Undergraduate Coursework

Most medical schools require undergraduate coursework that encompasses several different subjects. Typically, you will be required to complete a calculus course, two biology courses with labs, two general chemistry courses with labs, two physics courses with labs, two organic chemistry courses with labs, and a microbiology course with a lab. Not by coincidence, these courses are among the most difficult you will encounter in your undergraduate studies, and are often thought to be "weed out courses," separating those who truly want to pursue careers in medicine from those who do not. Your performance in these courses is what is reviewed most seriously by medical school admissions councils, and it is important to do as well as you can in each of these courses.

The Remainder of Your Undergraduate Studies

A common mistake made by undergraduate students with aspirations of attending medical school is that it is absolutely necessary to major in chemistry, biology, microbiology, or a related field. If your undergraduate institution offers a Pre-Medicine major, it is wise to choose this major to enhance your ability to succeed in medical school. However, if your undergraduate institution does not offer such a major, it is completely up to you to choose a course of study. Today more than ever, graduate schools, including medical schools, are placing increased significance on diversity, leading to them accepting more students with differing majors and minors. So, if you have an interest in music, then major in music. Or, if you would like to learn how to manage money and invest, then major in finance. Your choice of major cannot hurt you when applying to medical school, so long as you have good grades.

The Importance of Research and Other Extracurricular Activities

Your undergraduate GPA and MCAT score will be the primary factors influencing medical school admissions committees, but extracurricular activities provide an outlet to separate yourself from others with good grades and a competitive MCAT score. Most medical schools take a holistic approach to admitting students and look at your entire undergraduate résumé, including what you did outside of the classroom. One activity you should work to become involved in as early as possible in your undergraduate experience is research. Seek out experience in research at your institution's medical school, if it has one, or instead in a chemistry, biology, or microbiology laboratory. You can find such opportunities by communicating with professors, reading listings in classroom buildings, and visiting your institution's website in the appropriate department. Also, never underestimate the value of a leadership role on your campus.

    Get To Know Your Professors

Of course, the majority of the time you have not spent in class will be used to study, but it can be extremely beneficial for you to develop relationships with each of your professors. They will more than likely be glad that you are seeking them out for tutoring, guidance, or simply to talk about coursework and professional applications. More importantly, strong relationships with professors can translate into valuable letters of recommendation for medical school applications as well as potentially important professional networking opportunities.

Article Title: An Overview of What to Expect When Visiting a Surgical Center For a Procedure

    *********************** ARTICLE START ***********************

Surgical centers, institutes, and clinics have attracted many patients, and for good reason, too. These centers typically are home to renowned surgeons at the forefront of the science who employ state-of-the-art medical technology to perform surgeries. They offer exceptional service and strive to make patients feel as relaxed as possible. When you visit a surgical center to undergo a procedure, you can expect treatment that is second to none.

    The Personnel You'll Likely Encounter

Going to a surgical center for a procedure will mean seeing more than a receptionist and the doctor. Instead, you'll likely be greeted by a friendly receptionist who will provide you with a detailed schedule or itinerary outlining what you will be doing over the course of your visit. After that, you'll likely meet with an experienced nurse practitioner or physician who will review your family and medical history and take another look at your diagnostic imaging results. This might be all that you have scheduled for your first day. When you return on the day of your surgery, you will most likely again be greeted by a friendly, smiling face and be led into surgery. From there, you'll meet with your surgeon and a team of surgical assistants for your procedure. After your surgery, you can expect to meet briefly with a physical or occupational therapist who will instruct you on how to properly recover from your procedure.

    The Center & Possible Amenities

Oftentimes, visiting a surgical center means traveling to a location outside your hometown with your spouse and possibly your children. If that is the case for you, you'll probably be concerned about the amenities offered by the surgical center. Most surgical centers in today's world offer several amenities for this exact reason, though they may vary individually. You might find catered breakfasts and lunches, play rooms for children, and possibly even an exercise facility for family member s to utilize. Be sure to inquire about the amenities offered during your initial consultation to find out beforehand what to expect in this regard.

    Undergoing Surgery

When it comes time for surgery, you can expect to meet a highly regarded, knowledgeable, experienced surgeon. He or she will give you a brief overview of the procedure, explaining what precisely will be done and how long it should take to complete. Depending on whether you will be undergoing an inpatient or outpatient surgery, you will be sedated with general anesthesia or local anesthesia and an IV, respectively. Generally, you can expect your procedure to be completed quickly. This should not be a reason for concern, as surgeons at most surgical centers are renowned experts and know how to complete surgeries successfully without taking more time than necessary.

    Postoperative Care

After surgery, you will undoubtedly have a period of recovery. Clearly, you will not be able to spend your entire recovery period at the surgical center, as this would be extremely costly and keep you away from work for an extended period of time. Your recovery period will be spent on your own, possibly with the help of a physical or occupational therapist and some pain medication to help minimize the initial pain. Before you leave the surgical center, though, you will almost certainly undergo a brief recuperation and recovery session aimed at helping you to manage your body and recover correctly. It is important to pay close attention during this session and soak up all the information you can. And while recovering, it is highly important that you heed the advice you receive exactly as you are told, as any diversion from this may prolong the road to recovery and further complicate issues for you.

    Senior Debt

In corporate finance a senior debt is often issued as a senior note or loan and is a debt that must paid-off before other (junior) debt owed by the corporation in the event of a liquidation.

Senior debt is most often secured by company assets or receivables and is often a credit line that helps the corporation finance inventory, projects, and/or expansion.

In the case where an asset is used as collateral for a junior loan--- even if other debts are incurred by the corporation before that loan is established-- the collateralized loan will always be paid-off under liquidation before other loans.

As often occurs with financial transactions, there are exceptions to this general rule. One exception of many:

    • The federal government can force a corporation to subordinate senior notes/loans in some circumstances.

    Subordinated Debt

A subordinated loan is a debt paid-off after senior debts are paid.

    Subordinated loans might include:

    • Subordinated bonds

    • Subordinated debentures, or an

    • Unsecured loan.

If the corporation liquidates under bankruptcy or other liquidity event, generally, the senior debt is paid first, then bonds, followed by subordinated (junior debt), and if any assets remain the stockholders are paid last. Obviously subordinated debt is riskier than senior loans/notes and this must be taken into consideration before lending to this company.

    The Venture Capital Funding Rounds

Venture capital financing rounds are named to match what each round does.

    Seed Round

During the seed round, most funding is provided by either the originators of the company or other company insiders and managers. Often, family and friends invest at this stage because it is difficult to get outside investors at this point unless the idea has significant upside potential for an investor. Note: In addition to common stock, seed round investors often receive stock options.

    Angel Investor Round

Early in the business and after the company has proven the business concept, investors who invest in the business receive common stock. Since investing at this stage of business is very risky the investor expects to receive significant return if the business succeeds.

    Other facts:

    • In addition to common stock these investors often receive stock options.

    • Investors at this point are often called Angels because it is said that Angels either protect their investment, or Angels find ways to connect investors with requisite companies that require cash to survive. Either way, there is no limit to Angel investment as a designation; typically, Angels fund investment in the $1-20M range, although some Angel investment has gone as high as $50M dollars with some companies, and higher totals are not unheard of.

    Series A, Series B, Series C

Series A, B, and C and so forth are called "alphabet rounds" because of the sequential letters assigned to each round of funding.

    Series A (Round 1):

    • Series A is considered the first real funding round by equity investors and venture capitalists.

    • In this, and all, investment stages investors buy shares of preferred stock for their investment. They do this because:

o Preferred stock is convertible into common stock if the company goes public.

    • Private equity investors select preferred stock because of special features such as dividend accumulation and anti-dilution characteristics.

o Preferred stock is the least expensive because the risk is greater than in Series B and C.

    • This funding round is very important to a business because may be the first "real money" invested in the company with the funding round generally ranging from $1 to $10 million dollars.

    • If the company does not do well with this initial funding then it is doubtful additional funding will be available for future needs.

    Series B (Round 2):

    • Series B is considered the second real funding round by equity investors and venture capitalists.

    • Series B funding is usually provided when the company meets specific milestones outlined by investors or their representatives.

    • The Series B funding round usually extends up to $50 million dollars.

    • This stock is more expensive per share for investors because the risk has been reduced as the company continues to meet or exceed its goals.

    • If the firm continues to meet its goals then further funding rounds are possible.

    Series C (Round 3):

    • Series C is considered the third real funding round by equity investors and venture capitalists.

    • Series C funding is usually provided when the company meets specific milestones beyond those outlined by investors or their representatives in Series B (Round 2).

    • This stock is even more expensive per share for investors than either Series B or Series A.

    • Typical funding in this round can extend from $50 to $250 million.

    • If the firm continues to meet its goals then further rounds of funding.

Further funding rounds are lettered sequentially "D," "E," "F," …

When stock is issued in series "A," "B," or "C" it is an indication that the company is on track with expectations.

    Mezzanine Financing

Mezzanine financing is funding used to support the private company between venture capital rounds (A, B, C, etc.) or before a public offering and is typically debt capital that gives lenders the rights to convert debt to an ownership interest in the company if the loan is not paid back fully and promptly. Most often these lenders are venture capitalists and/or banks who provide this type of financing without significant due diligence and therefore demand a rate of return which generally exceeds 20 percent.

For a private company to obtain mezzanine financing it must show a track record in the industry, have a solid reputation, feature one or several outstanding products, and possess an excellent business model showing consistent profitability.

The initial thought of neck or back surgery can be intimidating and fill you with a sense of foreboding, but educating yourself on how spine surgeries are performed today, as well as their rates of success, can help you to relax and feel better about the situation. For one thing, if you have just been diagnosed with a spinal condition, the idea of surgery should not even be crossing your mind. On the other hand, if it appears that surgery is necessary to relieve neck or back symptoms like pain, numbness, tingling, sharpness, and general discomfort, you should begin to educate yourself as well as you can about the potential benefits and risks associated with spine surgery. Below, you will find useful information briefly touching on spine surgeries and what you can expect, should you elect to undergo a procedure.

    Different Types of Spine Surgeries

Not all spine surgeries are the same. The spine is a complex structure, and many different abnormalities can cause even more symptoms. Your MRI or CT scan should enable physicians to accurately discern the underlying cause of your spinal abnormality, allowing them to appropriately treat your condition. The type of surgery you will receive will depend upon your underlying condition, which may be a bulging disc, herniated disc, or spinal stenosis, among several others. Specifically, your surgery may seek to partially or completely remove an intervertebral disc, reduce the incidence of a bone spur, or simply to increase the space in a constricted spinal canal. Before your surgery, you should conduct research of your own to find out additional information about the specific type of procedure you will be receiving.

    Open Spine Surgeries

Open spine surgeries, which have long been considered the standard, often require overnight hospital stays. General anesthesia is administered to completely sedate patients for the duration of the procedure. Large incisions are made either through the neck, back, or abdomen to expose the spine to the naked eye to obtain a look into your spinal anatomy. Then, a series of medical instruments will be used to complete your surgery. Open spine surgeries often can leave large scars behind.

    Minimally Invasive Surgeries

Minimally invasive surgeries are typically outpatient procedures and generally do not require overnight hospital stays. Generally, only local anesthesia and IV sedation are administered for these types of procedures. Instead of large incisions, only a small incision, no larger than an inch in diameter, will be made. From there, a series of tubes and an endoscope (small camera) are inserted into the body to obtain a view of the spinal anatomy, which is viewed on a television monitor. Small surgical tools will be also inserted through the tubes and will be used to complete the procedure, all without exposing more of the spine than is needed.

    After the Procedure

After your procedure, you will have a recovery period. Depending on whether you choose minimally invasive spine surgery or open spine surgery, your recovery period could range from a few weeks to several months. No matter the type of procedure and whether it is open or minimally invasive, you can expect to take it easy for a while after your procedure. You'll be advised to not do any heavy lifting and to abstain from high-impact exercises and sports for a period of time. However, it is still important to stay mobile. That said, you should limit yourself to short walks and light stretching until you have fully recovered. Most important, you should adhere exactly to what you are told to do by your physician, physical therapist, or occupational therapist. Straying from the appropriate course of action can lead to a prolonged recovery period and further complications, and no one wants that to happen.

Technology is changing the world, and recent developments in technology have had significant impacts within the realm of business. Business as we know it is constantly evolving, and now more than ever, we rely on computers and cutting-edge technological innovations to stay up-to-date with peers, colleagues and competitors, to maintain market share and any competitive advantages. Among the hottest current trends in business technology are telecommuting, teleconferencing, search engine optimization, and social media.

    Telecommuting

It seems as though more and more people are working from home these days. Working from home, also referred to as telecommuting, has increased in large part to innovations in technology. Employees can now log onto work computers from a home laptop or desktop computer via software that allows for remote access. When logging into work computers, all of the features of a work computer are present. E-mails are readily available, important documents are at your fingertips, and access to the hard drive is as simple as it would be in the actual office. Popularity of telecommuting among employees and business owners is increasing, thanks to a plethora of personal and business benefits. Moving forward, we can certainly expect telecommuting to be a more accepted and widely used business practice.

    Teleconferencing

Teleconferencing has been an instrumental facet of business that has helped companies around the globe to save on costs that previously were spent on travel and lodging. Instead of sending employees across the country and around the world to meet with business partners and clients, meetings can now be conducted from the home office, with multiple employees from both companies able to attend. These meetings aren't just phone meetings, either. The advent of high-definition monitors and sophisticated camera technology is now allowing individuals, potentially thousands of miles apart, to meet face to face and communicate with each other in an instant. Teleconferencing is changing the way we do business, and the competition between many firms involved in teleconferencing technology will help to drive further innovations in the way of such virtual meetings, benefitting businesses everywhere.

The Internet As a Source of Finding Businesses

When was the last time you used a phone book to find a business? Chances are, you cannot even remember the last time you used a phone book. Instead, you probably use the Internet, specifically a search engine such as Google, Yahoo!, or Bing, to find what you need. And while you are searching for businesses online, the businesses you are searching for are working to show up, or rank, higher in the search results you see. The process of doing this is called search engine optimization, or SEO. SEO has become an important practice for businesses of all sizes, and it continually is expanding and gaining more accuracy in order to improve both virtual and real marketplaces.

    Social Media

If you had tried to bring up a conversation about social media 10 years ago, most people would have had no idea what you were talking about. Today, the opposite is true. Recently, the phenomenon of social media has steadily grown in terms of usage. Facebook, Twitter, Foursquare, YouTube, and other forms of social media have swept the nation and the world. While social media developed primarily as a way for individuals to communicate and share information with one another, it is proving to be highly useful for businesses everywhere as well. Social media are now being used as outlets for businesses to promote their products and services, as well as serving their customers and providing assistance in a timely manner. As social media expand, you can almost assuredly expect business applications of the phenomenon to increase as well.

A Reverse IPO is the purchase of a public company by a private company enabling the private company to immediately become a public company. This purchase allows the private company for forgo the expensive and laborious task of going public by traditional methods (IPO).

Private companies primarily undertake a Reverse IPO because there are far more financing options available to public companies than private ones including additional share distribution and bond offerings.

A reverse takeover is simple to understand.

    • Shareholders of the private company purchase control of a shell company. (Recall that a shell company does not have any assets or liabilities. The company only remains in organization structure).

    • The private company is then merged with the public company and the private company bypasses the review process by state and federal regulators since this process was already completed with the original company.

Other points of interest in this process:

    • The private company shareholders receive proportional shares of ownership in the new company.

    • The transaction is easy, simple, and takes less than three months to complete.

In order to protect investors, even though the merger makes the private company a public one, the merged companies are required to file audited financial statements and extensive legal disclosures (K8) immediately following the reverse merger.

All public offerings can be divided into two functions.

    1. Going public.

    2. Raising capital.

In a Reverse IPO the raising capital part of the public offering is either eliminated, or at the very least, delayed. Instead, the entire goal of the Reverse IPO is to take the company public.

Often, private company stockholders require that the shell company stock holders--- who will receive new company stock--- not sell the new stock for up to a year or more.

    Actual Transaction

The transaction is between two companies, even though controlling interest is being held by the private company investors. Therefore both companies are able to negotiate terms of agreement such as stock sharing, exiting of employees, etc.

    At Closing

    • The private company pays for the shell company by contributing their stock to the shell company

    • The private company obtains majority control of stock and the board of directors, and

    Benefits

    • A Reverse IPO (Reverse Takeover) can be completed in 30 days.

    • Costs much less than other forms of "going public."

    • There is less stock dilution than with other public offering methods.

    • It is less risky than IPOs, because market conditions do not affect the price of stock --since capital is not being raised through the sale of stock.

    Disadvantages

    1. The shell company:

    • May have kept poor records.

    • Shell company stock holders may be along for the ride and want to liquidate their stock as fast as possible.

    2. Private company stock is only liquid in a public market, or a private one, if an interest in the stock exists.

    3. A reverse IPO takes time to develop and finding the company to purchase can be difficult. The company must be seasoned and meet the necessary requirements by the federal trade commission.

    *********************** ARTICLE START ***********************

Reeling from years of a less-than-stable economy, the construction industry has apparently shaken grown into renewed vigor and vitality toward the close of the 2000's first decade. Most industry observers predict a period of continued recovery, with new design innovations that will help bring about a more diverse construction landscape. The trend toward the "green" construction of the past few years is expected to continue, with the development of even more structures that embody eco-friendly principles while continuing to incorporate natural elements and features in even more inventive ways.

One of the most promising facets of the eco-friendly approach is biomimicry, which uses natural and biological patterns as inspirations for architectural and engineering designs. These new developments point toward an increasing focus on incorporating natural elements, not only in the facades of new buildings, but also in their interiors. Cooling and ventilation systems in particular will be increasingly designed taking a cue from Mother Nature's own designs.

A few other trends that show promise in the construction industry are modular design and prefabrication. There are a number of benefits to such a construction approach, and the shorter production cycles and enhanced sustainability are among the most compelling. In addition to requiring less time to construct, modular buildings are also generally cheaper and safer to produce. This in turn results in lower production costs, with savings that may be passed on to the end customer. The use of eco-friendly materials and the clean design lines also make these modular structures ideally suited to the changing demands of the market.

Many would say that the period of renewed vibrancy and innovation in the construction has been a long time coming. While a number of construction principles will continue to remain in practice well into the future, there is a clear shift toward more eco-friendly and energy efficient methods and designs.

Even areas of construction that have previously neglected the use of "green" materials will undergo significant changes. Flooring and roofing in particular stand to benefit from the development of more environmentally-friendly materials, with bamboo and stone being only two of the materials expected to increase in popularity in the coming years. Some other aspects of design and construction in which the "green" trend is expected to take hold are painting and fixtures, both of which are areas in which there is an increasing shift toward the use of alternative materials in preference to traditional options.

There is also expected to be a growing market demand for eco-friendly options in terms of materials and construction and design processes. While "green" techniques and materials have traditionally been marginal segments of the industry, this is bound to change as more and more customers demand a wider range of environment-friendly options.

All these developments point to an increasing global awareness of the crucial role that construction plays in helping preserve the environment. No longer a necessary evil in terms of the human impact on nature, construction may well become a key player in the continuing quest toward an eco-friendly and sustainable industry.

    *********************** ARTICLE START ***********************

Article marketing and submitting articles to article directories is the best form on online advertising you could ever use. Ignore those that claim that its day is done - its day has hardly even started, and those that descry it are those with websites hiding around on Page 5 of Google wishing they could do what we can do.

Why is article marketing so good for your online future? How is submitting articles the best online advertising ever? Easy! It can be proved - and not only that the reasons are very simple to understand because they are obvious if you dare think about it. First let's discuss what article marketing is, and how you can use it to your advantage.

By writing an article of 500-800 words (fewer indicates a lack of knowledge about your niche - or laziness) you can demonstrate to those interested in your niche just how knowledgeable you are. You can persuade them that you know your stuff and that they are safe in your hands, just as you are safe in my hands when I write your articles for you.

To do that all you need do is to write a decent article on a topic related to your article and then submit it to article directories. So how do you go about writing and submitting articles? Here's how:

    Writing Articles for the Web

Before you even start writing articles for the web, you have to do some homework. Yep, I know, but stop the groans. If you love your niche then you will love the homework. Basically it involves checking out the best keyword to use, and then checking out what your competition is doing. You can do that the free way or the not so free way. Me - I find the free way just fine for my needs.

If you go to your browser - any one will do - and enter 'google keyword external' into the search box, you will find a link to Google's Adwords keyword tool. You don't need to be registered with Adwords to use it. Go past the Captcha code and then enter a broad keyword connected with your niche, such as 'Golf Shoes' or 'Rollerblades or 'Herbal Medicines'. Then click to search.

You will find a list of keywords related to your niche. Not all will relate directly to your take on the niche, for example for 'golf shoes' you might find 'vintage golf shoes' (2400 searches/month). However, you will find ideas for keywords for your article. Choose one (let's say 'vintage golf shoes') and you can dig deeper and maybe get an even better keyword. The thing is, this is a free keyword tool and you can use it to find good keywords for your article: you might even find an exact title you can use that people are using in their searches.

Once you have selected a few possible keywords, enter these into your browse search window and find out what competition you have. Click on the links and have a look at their sites, and then right click while on a web page, and choose 'View Source'. You will then the source code for that page. Check their Title tag and the various Meta tags and see what they are doing.

Once you have dissected your competing websites to the bones, you can do what they do, only better. You can even copy their source code and use that as the basis of the HTML for your own website. Change a few elements top make it your own and you have saved a great deal of time.

That's the beginning of article marketing, and you are not anywhere near submitting articles and getting your online advertising campaign off the ground. However it doesn't take long from here because all you need do is use the keyword you have found in your title, and write an article around it. It needn't be perfect but it should contain no spelling errors, and should also be mainly free of grammar errors.

Use your keyword in the article - not too much, but maybe once every 200 words, plus once in the opening and last paragraph. Then write a good resource, such as "for more information on vintage golf shoes, visit xxxx where you will find some great golf shoes that will wow your buddies at the tee." xxxx of course, being the URL to your website or the sales page for the products you are promoting.

If you can't write the articles yourself there are plenty good ghostwriters around that can do it for you at a reasonable price (me!). Then all you need do is to submit your article to a selection of article directories and you are all set for some traffic.

It generally takes more than one article, but you get the benefits from each of Google PageRank points (I hate the term 'link juice' - indicates a lack of education), reads on the directory and also links and reads from those that copy the article to their own web page. Reach read could be a click. To copy your article legally they must include your resource, so run Copyscape now and again to make sure it's all legal.

So that is very briefly how to go about article marketing and submitting articles to article directories. You will have to register for each directory, but there are quick ways to carry out your submissions. These are not for here.

Article Title: Finding Low Cost Car Hire in Malaga

When looking for low cost car hire Malaga offers many options that may not be available in other parts of Spain. That is because Malaga is on the Costa del Sol in Spain, and is a very popular tourist destination. For that reason, car hire in Malaga, particularly at Malaga Airport, is a competitive business and you can find deals there that you will not find it easy to beat elsewhere.

Malaga is situated on the southern coast of Spain, part of what is known as the Costa del Sol (the 'sunny coast'). Because of the almost perfect climate for vacations and miles of beautiful beaches, Malaga is one of the most popular holiday resorts in Europe; not only for the beaches, but also for the magnificent typically Spanish food.

The city offer a large variety of restaurants, bodegas and bars, many of them traditional tapas bars when you are offered free tapas while you drink. Just as well, because drinking in Spain is very inexpensive, and you need something in your stomach to keep you from falling over! Tapas are idea for these - note that the singular form of tapas is tapa, although it is almost always used as a plural since no Spaniard would dream of ordering only one tapa! It's like ordering just one prawn.

Malaga is a large place, and when seeking car hire Malaga Airport has a lot of options to offer. So what should you be looking for? First and foremost, your car should meet your needs - if you have a large family it should seat them all and if there are only two of you, then you can a better car for your money if you only want a two-seater or a small saloon. In Malaga, car hire options tend to be more varied than elsewhere because of its popularity as a holiday destination, and you can often get good higher rated cars for less than elsewhere in Spain.

You can have the choice of 'meet and greet', when after you have booked the car hire Malaga representatives will meet you at the airport and escort you to your car. Although many will speak English in Malaga, the translation for 'car hire Malaga' is 'alquiler de coches Malaga'. If you haven't organized a car in advance, then saying this to a local will enable you to receive instructions for the nearest Malaga car hire firm.

You should make sure that you have insurance cover you want: whether it includes collision waver or not, and you must thoroughly check your car for damage before you accept it. Have any dents and scratches recorded on the hire form before you drive off, or you might find you hire costs more than you expected! Also check on the fuel situation: has the tank been filled, and do you have to return it filled, or is it simply 'take what you have' and return it the same way without additional cost for fuel.

Some car hire Malaga Airport rental firms will ask for a deposit against a full tank of fuel, and return what's left after filling at their own pumps. Avoid that at all costs because it could cost you a bomb: fill it up at the cheapest outlet you can find before returning the vehicle. Hiring a car in Malaga itself will likely cost less than at the airport, particularly with respect to the refueling charge.

With regard to tourism and car hire Malaga is a great place to visit, because it has more to offer than just the beaches. Pablo Picasso was born here, and you can find the Pablo Ruiz Picasso Public Foundation at the house where he was born back in 1895. You will some of his drawings here and other aspects of his early life - a magnet for any art lovers.

If you want more than one person in your family or group to drive (always a good idea) then name each of the potential drivers. With respect to car hire Malaga is very similar to other destinations, and will charge extra for other drivers. However, if it's available then go for it because it's always a good idea to have at least two drivers. Particularly in Malaga where there is much to see, and is within driving distance of Marbella and beautiful Guadalhorce, and also the unspoilt traditional villages of the Axarquia province.

You will also find some beautiful architecture here, with the Malaga Cathedral built on top of a Moorish mosque, and you will also be able to walk round an old Moorish fortress and have a look at the remains of a Roman garrison that was the foundations of La Alcazaba, a Moorish fortress built in the 11th century.

So when you hire a car in Malaga, the region has a lot to offer, and you should not miss the Roman amphitheater, situated just below the aforesaid Moorish fortress. This is at least 1700 years old and possibly more. Regarding the cost of car hire Malaga is particularly inexpensive in comparison to other parts of Spain if you book in advance, and find the right car hire firm. Malaga Airport car hire, like most airports, costs a bit more than in town, but a lot depends on the deal you can haggle.

About The Author: For more information on the type of car hire Malaga Airport and city has to offer visit http://www.malagaairportcarhire.com where you will find a wide range of vehicles for hire at excellent prices, including a free second driver and other benefits.

    *********************** ARTICLE START ***********************

Wouldn't it be great to be fit? The only issue is that getting fit is not the most exciting thing in the world. It takes motivation to get fit and even more to stay fit. I would be motivated and would lose 20 lbs, then gain them right back again. It, for lack of a better term, SUCKS! But I don't suffer with that any longer.

The key to true lifelong fitness is in the mind...The Subconscious Mind. The best way to penetrate the veil of the subconscious mind is through subliminal messaging.

Using subliminal messages to create life changes is well established. It's been around for decades. I recall my first subliminal audio. This was in the 80s, when they were hot. My mother had tons of tapes so I curiously tried some of them. I was still young and without a ton of Subconscious blocks so the programs worked very well. However, as I grew older I found they stopped working. It was only much later in life that I discovered why.

The reason why subliminals work at all is because the subconscious mind can detect messages that are beyond the conscious mind's perception. This allows the Subliminal message to bypass the conscious mind and go directly to your subconscious. Most subliminals have affirmations such as " I am my perfect weight" embedded behind relaxing music. This will work if you do not have substantial subconscious blocks. Unfortunately, most of us have developed deep rooted blocks and the conventional subliminal program can't compete. Sometimes they might make your issues worse.

You see, the Subconscious mind compiles every moment of your life, many life events can foster self limiting beliefs. After a while those beliefs become reality through your habits. As time passes, the habits become more entrenched and harder to break. It's not doing this out of malice, but out of convenience. Since we often engage these negative thoughts and constantly reinforce them, the subconscious mind does us a "favor" by making them routine. It doesn't care if the routine is good for you or not. If you repeat it, it will entrench it deeper. The only way to change the subconscious mind so to reprogram it or at least short circuit the habit loop that it is in place. One way to do this is with subliminal programs...But not all programs are created equally, some could harm you.

Just because the subconscious mind is exposed to positive affirmations doesn't mean it will suddenly relinquish the bad thoughts and habits, in fact, it tries to embed your habits deeper. The subconscious mind will fight to make sure the routine stays put. That is why old habits die hard. All those " affirmations" will be rejected because there is nothing in your life that is allowing your subconscious mind to believe in them. You cannot lie to your subconscious mind. However, there is one modality that can bypass this subconscious tendency of habit entrenchment and it's called Switchwords.

Switchwords were discovered by a very colorful and eccentric man by the name of James T. Mangan. In his book "The Secret of Perfect Living", James states that the subconscious mind has several "switches" that when flipped, can result in certain outcomes. Thus the name "Switchwords".

Switchwords are single words but can also be found in various combinations. They are, in many ways, one-word affirmations. But Unlike the conventional affirmations that contain statements that your subconscious rejects , Switchwords, bypass this rejection and communicates with the subconscious mind directly. This direct communication makes the desired result automatic and without any real resistance.

You do not even need to believe in them in order for them to work. That's how powerful they are.

Since both subliminal audio/video and switchwords communicate directly on a subconscious level, I developed a new technique that pairs both Switchwords and Subliminal technology together. This brings out the power in both of them. I have been using them together successfully not only for my fitness goals. ( I lost those 20 lbs easily). I also used them to break other habits.

Article Title: Cinnamon and Weight Loss: Slimming With Apple Pie

    *********************** ARTICLE START ***********************

There is a connection between cinnamon and weight loss, which is good news for those that love the taste of cinnamon and also have to lose weight. In fact, cinnamon can be used to help you to lose weight in a healthy way that will compromise neither your immune system nor your cardiovascular system.

Cinnamon is known to have positive medicinal properties in that it is believed to help improve your memory and general brain function, and also possesses antibacterial properties. Add to that the fact that it appears to be effective in reducing the LDL (bad) cholesterol levels in your blood, then cinnamon is a very useful spice to use in your cooking. I find apple and cinnamon pie absolutely divine!

However, one proven property of cinnamon is that it reduces the amount of glucose in your blood (ie blood sugar) and also increase insulin levels, which is of benefit to diabetics (Refs 1-2 below). Ingestion of just one gram of cinnamon has been found to lower blood sugar in Type 2 diabetics, and also reduce the levels of LDL cholesterol and triglycerides in their blood.

It is this effect that cinnamon has on blood sugar that enables it to help you to reduce weight. The proanthocyanadin contained in cinnamon activates the insulin receptors on your body cells which enables these cells to make use of glucose to generate energy. Thus, your blood sugar (glucose) is used for energy and not to generate fat.

Without these insulin receptors being activated, your cells cannot enable glucose to enter the cellular mitochondria where it is used in the Krebs Cycle to generate ATP energy. The only other option for it is then to be metabolized into fat, used as an emergency energy source that is stored in your fat cells. Hence, you tend to put on weight. The function of insulin is to enable the cells of your body to absorb glucose so that it can used, together with oxygen, in cellular respiration to generate energy.

Cinnamon promotes this, and its use in promoting good health was known by the Romans who would burn the tree bark (which cinnamon is) in their homes because it was believed to clean the air and keep them healthy. The Romans did not know why, but they knew that it did. This is one more example of ancient remedies and usage of herbs and spices for which modern science is able to provide a reason.

Give them credit; these old civilizations sure knew what was good for them - and bad. They were masters of both health-promoting natural substances and poisons which they used a lot. In fact, was it not for their prolific use of poisons the world would likely now be overpopulated!

Cinnamon and weight loss go hand in hand in that cinnamon helps your fat cells to react to insulin levels, and burns fat when needed to generate energy. By enabling your body to metabolize carbohydrates more readily into glucose and then energy, cinnamon and weight loss are very tightly connected in terms of your metabolism.

There is much more to it than just that, but for now it is enough to understand that cinnamon and weight loss both have a connection with the metabolism of carbohydrates to glucose, the glycolysis of glucose to pyruvate and the cellular oxidation of pyruvate to energy. The more efficient that process, the more fat you will burn and convert to energy.

Cinnamon is more than just a flavoring for cookies and apple pie (Mmmm...) - Cinnamon and weight loss are interconnected in a way that you may not fully understand, but that will make you lose weight quicker by reducing the fat stored within your fat cells. So get that apple pie out and send me some!

Note: Check with your physician before taking any supplement that can affect insulin or your cardiovascular system. Cinnamon and fat loss supplements are usually fine, but let your doctor know what you are doing if you are already on medication.

Astoria's popularity is on the rise considerably. This is mainly because it attaches to some of the most popular cities in New York. There are plenty of other places to visit while you are here as well.

    The Atmosphere

There are many reasons that Astoria is a very attractive place to spend your time. It has a gorgeous view of the East River. It's basically the long section that makes up Long Island City. It is located in the northwest part of Queens. It is attracting people from all over the world to spend their time here or just visit here. You can easily access the Bronx, Brooklyn, and Manhattan. These are some very cool areas that have a ton of things for you to do while you are in the area. You can check out the rich history in each of these areas as well as meet native New Yorkers. They will have that accent you always hear about. It is truly neat to see what they do and how they are unique.

    Getting Around Quickly

When it comes to transportation in Astoria, you will have several good options. The main ones are the bridges and highways. You will want to make sure you check out the train though. It is truly an experience you will remember the rest of your life. Make sure you ask for directions though because it can be tricky to navigate via train if you have never gotten on one before. You can travel North or West depending on where you need to be. You can make your way all the way to the Queens Plaza which is something you will need to check out. Make sure that is at the top of your list. This is the last place the train will stop though before you get to Manhattan. The Teenage Mutant Ninja Turtles are made up to be a part of this town. It really has some cool things for you to check out. It has sparked a lot of movies being released as well as song inspirations. If you don't like to travel by train because it is too difficult or you don't like how fast they move, try to grab a cab. You will definitely find many of those here.

    Spots To Check Out

First of all, you won't miss the Skyscrapers of Manhattan. They are very hard to miss. They are also truly a sight to see when you are in the area. No other place in the United States has them as high and pretty as they are in this area. If you like to see the rich history that New York gives, check out the Museum of the Moving Image. It will showcase all the popular movies and media that were made from the area. If you have children along, make sure you check out Kaufman Astoria Studios because it is the spot that Sesame Street is produced.

Article Title: Choosing Halloween Trivia Questions For a Halloween Quiz Night

    *********************** ARTICLE START ***********************

You have to find Halloween trivia questions for a Halloween quiz night, and the finding of them is not all that difficult: a simple Google search should give you what you need, but compiling these into a quiz is not so easy.

It's coming up to Halloween time now, and lots of people are thinking of holding a Halloween quiz for a bit of fun. Maybe you are having a party, and intend to ask a few Halloween trivia questions just for fun or even for prizes. Perhaps your club or local pub or bar has asked you to arrange a quiz for their patrons, or may you even intend to hold a Halloween quiz inight n your own bar as something a bit different at this time of year.

For each of these situations your quiz night has to be interesting and entertaining, and not too difficult. Sure it has to sort the men out from the boys, but you don't want everybody scratching their heads at every question. You would be surprised at how many quizmasters believe a quiz should be a contest between them and the contestants or audience.

That includes a Halloween quiz that should be for sheer fun, with a few prizes thrown in for the best and worst teams: yes, worst, because every quiz should also have a booby prize. I always do that, and rather than feeling disgraced or embarrassed, by introducing that simple prize, the bottom teams appear to have a sense of pride at wining something, and you often find the second last disappointed at not being last!

There is a solution to that as well: a contest. Something simple, such as throwing a coin nearest to the wall. That allows even the poorest teams to take part with enjoyment. However, for a Halloween quiz, it is the Halloween trivia questions that really make it what it should be. It's OK copying a load of questions from the internet, but how easy or difficult are they - how balanced?

Keep in mind that for a proper quiz you need more than just 20 questions. You need rounds, and each Halloween quiz round should have a theme. Such as Halloween monsters, Halloween myths or Halloween movies - plenty of these around! No, there is a lot more to com[piling any quiz than just collecting loads of questions and presenting them in rounds of 10 or 20.

Halloween trivia questions should be graded between easy and difficult and presented in the quiz from the easiest down. Yes, I know, 'any question is easy if you know the answer' - how many times have I heard that! We all know that, but I think that we also all know that on balance some questions are harder to answer than others. The difference between the square root of 4 and the square root of 559,441 is easy and hard! So there smarty pants!

Just keep in mind that when you present a quiz you are entertaining the participants. You are not trying to beat them, and you are not trying to show how clever you are. You want them to come back next year, or even to some of the other quizzes you might host throughout the year.

So choose your Halloween trivia questions wisely, with a good balance between the simple, the logical and the guessable, and they will thank for a Halloween quiz that they enjoyed and gave everybody a wonderfully entertaining evening.

Make sure you don't miss Citi Field which calls Flushing, New York it's home. The Queens Zoo will also be a fantastic site to see for your children and you. If you like Art, don't miss the Queens Museum of Art.

    Citi Field

This is probably the most popular spot in Flushing that people visit every year. It has good reason to be as well. There are so many New York Mets fans out there in the world and if you are one of them, you won't want to miss what this field offers. It looks like a Roman Empire building from the outside and the inside is filled with one of the prettiest baseball fields that the world offers. It can seat almost 42,000. What better place to spend your time with almost 42,000 other Mets fans? The field was named by Citi Bank in 2008 which caused a lot of rumble because the economy wasn't good. The fans really didn't seem to care about it all though because the stadium had many new features that made it much more comfortable. There were wider seats installed as well as a wider view of the field. The view of the field is everything. When it is cramped, nobody has a good time. This isn't the case anymore. It truly is breathtaking to visit the stadium on a nice day in the spring.

    Queens Zoo

If your child has a birthday coming up, there is no better place to celebrate it than this zoo. Your child and all of their friends will remember petting various animals at the petting zoo. If you don't get a chance to do that, make sure you check out the main zoo. There are many different kinds of animals that are pretty rare to see. There is a small type of deer that is very cute that the whole family will want to check out. The zoo isn't a huge zoo, but it is filled with quality animals. That makes all the difference. Nobody wants to spend walking all day to see animals they have always seen before. Having a small zoo filled with animals that are pretty rare, is a fantastic way to get enjoyment out of your time. So, if you have a bit of extra time and you are in the area, check the zoo out. It is definitely worth the price and much more. You don't even need to take time out of your schedule either. You can just visit the Zoo if you are in the area for other things and want a quick peek at some great animals.

    Queens Museum Of Art

This museum is also a top rated thing to see on the Flushing, New York mindset. All types of artists will enjoy it's uniqueness and rich history. If you like wide views of art, this is the museum you can not miss. There is a mini New York model that is presented in the museum to make you feel like a giant. It is a fantastic way to get a view of all of New York and see other things you can check out. If you have binoculars with you, you can even zoom in and catch some very fine details in the work. The artwork that is presented all around the museum makes you feel like you have lived in New York all of your life, as well. The panorama of New York City though is something you don't want to miss. It was captured for the World's Fair in '64.

Article Title: Picking a Good Shared Host

    *********************** ARTICLE START ***********************

Are you in the market for a shared hosting service and wondering how to choose from the pool of options? There's a lot of factors to take into considerations. You'll have to do some research for each potential host. You'll have to think about the host's reputation for crowded servers, uptime, web panels, support, and cost. This short guide will walk you through the steps on how to pick a good shared host.

    Server Load

Perhaps the most important factor to take into consideration is the service's reputation for server load. You can check the server load using the uptime command for Linux servers. High load is bad, low load is good.

High load occurs when there are too many customers, websites, or web applications running on the same physical server. This usually means the service provider is putting too many customers on the same server, expecting them to share it nicely. They do this to save money on cost and earn more profits from their customers.

Many service providers have horrible reputations for cramming their servers. Do some research and check online reviews before you make any commitments.

    Hosting Uptime

Another important factor is hosting uptime. Do their servers disconnect and stay down for periods at a time? Your website or web application is dependent on their servers. If their servers go down, so does your website. This usually means loss income for you. Uptime can be checked using the uptime command on Linux machines.

Most companies will advertise their uptime on their homepage or a page on their website. It's usually something they like to brag about. Most companies actually do a great job regarding uptime. You can usually check their status page to see if they've had any recent outages.

    Web Panels

If you're staring out, it's important that your shared host provides a good web panel. A popular one is cPanel. Web panels provide a GUI for simple point and click installations of common software. Would you rather install a Wordpress blog by command line or by clicking a few icons?

Common software includes Wordpress, MySQL, PostgresSQL, Drupal, forums, base Ruby on Rails applications, Django applications, and much more.

Besides software, web panels can also be used to administer email and database accounts. You can avoid using the command line to create and set your email username and password.

    Included Software

If you're a developer, the included software on your server is important. Does your shared hosting provider include common version control systems like Git or Mercurial? How about scripting languages like Ruby or Python?

Some shared hosts live close to the bleeding edge. When Git began to become popular, they made it a default on all of their servers. These are great shared hosts to have because it means less work for you.

    Custom Software Packages

How does the shared host handle custom software packages? Many websites or web applications may depend on other software packages. If you're hosting a Ruby on Rails application, you may require installing uncommon Ruby gems. If you're hosting a Django application, you may require Python packages. Hopefully, the shared host you choose will allow you to install software packages into your home directory.

A lot of people fear visiting new places of the world because of how much they cost. If you are a budget-minded person, Queens is an excellent place to spend your time. Check out these fun journeys on your next visit to the wonderful borough.

    Public Swimming

If you are used to paying for public pools, fear not. They are totally free in Queens. Nothing is better than that. Even beaches cost people money these days. Now you don't have to worry about paying a fee just to swim. If you like the indoor pools for the winter, there is a small fee for adults over the age of 18. If you are under this age however, it is completely free. You need to check out the indoor Flushing Meadows Pool and Rink for the winter time. If you like to bathe in the summer sun, check out the Astoria free pool. You can also check out some nice free beaches like Rockaway beach. It is a fantastic beach for responsible adults. The riptides are pretty strong though, so be careful.

    Professional Tennis

A lot of tennis enthusiasts know about the free qualifying tournament that is held before the Open. You get to see them for free and the spots that you can see them are fantastic. It is just like being at the Open. Make sure you check this out, even if you are not a huge tennis fan. It can be a great time to spend a few extra hours a day that you are not doing anything else. If you have children, check out the Arthur Ashe Kids Day. The concert costs a fee, but you can check out different events like games for the children or a chance to meet some of the tennis players. The Jonas Brothers have been spotted here already and you might have gotten a chance to meet them if you were in the park. New and upcoming stars like to visit this spot because it's such a great place to spend your time.

    Weekly Events

You won't have trouble finding free events all around Queens. There are community centers, parades, and theaters operating all around the year. Check out a free newsletter at a site that explains these events. You will be able to find out which event might be right for you that is coming up. Keep yourself busy with these free events when the current event you'd like to visit is full of reservations already. You can often times find this information at a local hotel or business place in Queens. You can ask people that have lived in the area for a long time as well. Just be careful though because they might speak a different language. Queens is know for having the biggest population cultural differences.

In conclusion, there are so many fun things to do in Queens that it will be hard not to find something for your entire family. Check ahead of time to see if there will be space at the event you'd like to do. It truly is a budget oriented person's paradise.

If you like the outdoors and all that mother nature offers, you owe it to yourself to check out several different Queens parks and beaches. Bring along some good sun-tan lotion and food with you. Try to catch everything these places have to offer for you.

    Isamu Noguchi Sculpture Garden

If you enjoy the forests of the world or like gardening at your home, you will like this place a lot. It is based in Astoria, Queens and attracts all kinds of people. You need to search for this garden to find it, but the experience is worth it once you do. It is based from the artwork of Isamu Noguchi, who died, and is now a museum type garden. You will see many Japanese trees and rocks. Make sure you don't miss his stone artwork, because it's some of the best in the world. You will also enjoy the walking paths and sitting benches which are great for taking pictures or resting. It is extremely well put together and if you are lucky enough to visit it on a nice spring day, you will enjoy yourself a lot. It's a fantastic way of getting in touch with nature for a free price.

    PS 1 Art Center

This art center is made up of contemporary art. It is located in Long Island City. You can catch a sculpture of a brown dog that is attached to a street light by the collar. It is certainly interesting and new if you haven't seen this kind of art before. It's very realistic as well. All of the art is cleverly hidden within the entire art center, so make sure you are checking everything you come across for a nice piece of artwork. Make sure you catch special events for the full effect. If you are looking to get into the field of art for a career, you can catch some excellent classes available at the center. Make sure you check out their web site for all of this information. You can also check out some of the nicest artwork at the site as well. It is truly an experience to witness it in first hand sight though.

    Rockaway Beach

If you enjoy going to the beach on a nice sunny day, you won't want to miss Rockaway Beach. You will find beaches in the other cities in New York, but none come close to this beach. You will not have trouble navigating all that is has to offer for you. You can meet some very interesting people while at the beach as well. If you like a clean atmosphere without trash littering the beach and contaminating it, you should definitely check this beach out. This beach is mainly for adults though who are responsible. If you do bring children to this beach, make extra sure that they do not go in the water deep. This beach is known for strong rip currents that are quite dangerous. This beach is fantastic if you just like to catch rays and relax. The beach is also hard to get to, like the sculpture garden. Once you get to it though, it will be worth the trip.

Ray Liotta is probably best known for his portrayal of real-life mobster Harry Hill in the instant classic "Goodfellas" in 1990. He has been acting steadily in television and films since 1978, but he was still largely unknown to the public. "Goodfellas" changed all that and launched his career with fantastic performances in gritty dramas like "Cop Land" and "Narc." What some movie fans don't realize is that for every crime film like "Goodfellas," Liotta has done a comedy or drama where nobody is a mobster or dirty cop.

Liotta got his start in the last place one might suspect a future mob portrayer would start-on a network daytime soap opera. The year was 1978, and Liotta, then just twenty-four years old, was hungry for his first acting role after two years of nearly fruitless auditions. He landed the recurring part of Joey Perrini in "Another World." It wasn't the meatiest part in the world, but it got him enough screen time to get noticed by casting directors, who gave him small parts in a few made-for-TV movies. Flush with this initial television success, he was finally cast in his first feature film in a role opposite Pia Zadora in "The Lonely Lady." The part called for him to sexually assault Zadora in a graphic way, making the film controversial when it came out, though it eventually went on to become a cult classic in later years.

After "The Lonely Lady," Liotta continued to work steadily on television in such series as "Casablanca" and "Our Family Honor." He didn't get a role in another feature film until 1986, a full three years after his shocking feature film debut. This film was "Something Wild" starring Melanie Griffith and Jeff Daniels. He played the psychotic ex-husband of Griffith's character who chases her down to try and win her back as she falls in love with Daniels. The film was part comedy, part drama, which allowed Liotta to flex his acting muscles a bit and be equally funny and frightening in the same film.

A few years later in 1989, he played his most high-profile role to date, as legendary baseball player Shoeless Joe Jackson in the Kevin Costner melodrama "Field of Dreams." The very next year was "Goodfellas," which, of course, changed his life and career forever. In the years just after "Goodfellas," he tried to take at least some roles where he wasn't playing a mobster, crooked cop, or sociopath. One such part that some fans forget about is his turn as a single father opposite Whoopi Goldberg in "Corrina, Corrina." In the film, he is a troubled but empathetic father trying to look out for his daughter, who is traumatized by the loss of her mother. He even gets to play piano and sing jingles, since his character is an ad executive who must come up with campaigns for various products. It shows a much more tender side of Liotta than had previously been seen.

He even took comedy roles, starring in "Operation Dumbo Drop" with comedian Denis Leary. He had a small part in one of the Muppets movies and even starred in the romantic comedy "Heartbreakers" with Jennifer Love Hewitt and Sigourney Weaver. Though his part was mostly played for laughs, he was still playing the owner of a chop shop who dealt with stolen car parts. Even in comedy, Liotta still managed to play a criminal. In fact, he seemed to embrace the fact that he was typecast in crime films, even providing the voice for the popular video game "Grand Theft Auto: Vice City." He also played a version of himself in the animated film "Bees," where he mocked the intense nature of the majority of his films.

Before "Bee Movie" in 2007, Liotta had been steadily doing one or two films each year. Suddenly, he began to work much more often, taking on several films and a television appearance or two for the next few years. In 2011, he starred in six feature films, which is a great number for most actors. In addition, he made one short film and two television appearances in the same year. Liotta was suddenly everywhere again, and he hasn't looked back since then. In 2013, he will tackle a whopping eleven feature films, including another Muppet movie. It seems like Liotta has experienced a second career surge as he nears sixty years of age. At a time when most actors are in the twilight of their careers, Liotta is red-hot again.

Article Title: Why the Tapeworm Diet Does Not Work

    *********************** ARTICLE START ***********************

The tapeworm diet does not work, and I intend to tell you why: it's sheer logic! This article will explain that the diet could work if you could give it a "whatever is the opposite of a laxative" supplement, but while tapeworms poop and pee, you have no chance!

Selling Tapeworm for Dietary Purposes is Illegal

The US government has banned trading in tapeworm - but why? If the tapeworm does not work why ban it? Is the country awash with tapeworms so that their import must be restricted? Perhaps they are just too difficult to tax, because the Great American Public might not be as agreeable to being scanned for tapeworm as they are to being checked for bombs.

It's one thing checking for drugs but quite another to have a tapeworm detector stuffed down your throat or up your rectum!

Nope - there are other reasons. One is that the tapeworm diet does not work and is actually a bit dodgy and the other is that it might kill you ( that would make you lose weight) - so the FDA have banned doctors from slipping tapeworm down your throat (or anything else) for health reasons. It is illegal to sell tapeworm or tapeworm diet pills on the open market in the USA but you can get them in Mexico or on the internet where anything goes.

    Does the Tapeworm Diet Work?

So you can't take a prescription for tapeworm to your local pharmacist and be handed over a few 50 foot monsters wriggling in a bag for you to eat, and nor can you buy their eggs. It has nothing to do with food - they are not classed as foodstuffs, and you can't boil or scramble these eggs - it would stop them working.

But assuming you could get your hands on some, would they work? Being serious, is it worth your while driving down to Mexico, or going online with a Google search for tapeworm eggs? I am a scientist - a genuine chemist with an Honors Degree in Chemistry from Edinburgh University and I write with all the authority of a qualified chemist who knows more about tapeworm than anybody that knows nothing about them. So here's my take on why the tapeworm diet does not work.

    What are Tapeworms?

If you eat feces, swallow feces-contaminated food or eat raw fish, beef or pork from contaminated animals, you can ingest tapeworm or their eggs. You can also take them in pills or eat live segments (have them on toast, but don't cook them - that will kill them).

The Tapeworm Diet: How it Works

The theory behind the tapeworm diet is very simple:

    a) You make yourself have tapeworm.

    b) You eat food.

    c) The tapeworm eats your food.

    d) You lose weight.

Why the Tapeworm Diet Does Not Work

    1. The tapeworm might not like onions or fat, or it might be a veggie worm - or even a vegan - so it won't eat your food. It might even be on a diet if it is too fat.

    2. The tapeworm has its digestive system and metabolism just as you have, so

    3. After taking its nutrition it grows. It gets bigger and puts on weight - therefore, so do you! How much does a 60 foot tapeworm weigh? Not far off half a ton I would imagine. I even read of a 168 foot one.

    4. It also passes its feces through its anus just as you do, so it pees and poops in your intestine!

    5. The tapeworm diet therefore CONTRIBUTES to your weight by:

    a) Fattening up a tapeworm that started as just an egg or a single segment. As it gets heavy then so do you.

    b) The tapeworm pees and poops into your intestine, so you then have to pass that along with yours and how much does your own poo weigh, without adding a 160 foot tapeworm poop. That must be at least as big as a dozen burgers! Until you pass the tapeworms you will heavier.

Perhaps you can now see why it is illegal in the USA. American politicians are allegedly well in with the food growers in the USA and could therefore likely oppose any motion designed to reduce your purchase of food. Because the tapeworm and its feces is effectively acting as a food supply for you, the tapeworm have been banned until such time as they develop a strain that does not provide you with a free meal (tapeworm poop).

    Conclusion

The tapeworm diet is effective but not as effective as it could be. It is an inefficient way of losing weight, and the United States government has recognized this fact.

So to recap: the food the tapeworm eats is processed just as yours is, and ultimately ends up as a combination of energy (wriggling worm), fat, muscle (heavier worm = heavier you) and poop. Where does the poop go - into your intestine where it then loses its sugars into your bloodstream - that adds even more weight to your body cells.

It's the ultimate in recycling! It means the tapeworm diet does not work.
